Marketplace Seller Sales Commissions and Fees

VROOM CLASSICS MARKETPLACE

Commissions and Fees Policy

Effective Date: 10 March 2025

This Commissions and Fees Policy outlines the charges applicable to vendors selling products and services on www.vroomclassics.com ("Marketplace"). By listing products or services on the Marketplace, vendors agree to the fees detailed in this policy.

1. Commission Structure

1.1 Standard Commission Rates

The Marketplace charges a standard 7% commission on each completed sale of a product or service. The commission is deducted from the total sale price including shipping and VAT (“landed price”).

1.2. Promotional Commission Rates

In certain circumstances, like limited-time promotional events or for other non-standard commercial considerations, the Marketplace may choose to charge a non-standard commission (higher or lower than standard) in agreement with the Vendor. This choice will be made entirely at the discretion of the Marketplace, and may be offered by the Marketplace as an incentive or may be requested at any time (with justification) by the Vendor via sellersrule@vroomclassics.com.

The applicable rate will be confirmed at the time of listing.

2.2 Premium, Exclusive or otherwise-differentiated Listings

The Marketplace may offer Vendors the opportunity to use differentiated paid Listings to improve, for example, their Listing visibility (as explained in the Ranking Parameters Policy [LINK]) or the sales conversion of their Listing(s). The specific terms applicable to such differentiated listings will be outlined in a separate agreement.

3. Subscription Fees

The Marketplace does not charge any subscription fees at this time, but reserves the right to implement a differentiated subscription offering in the future. Specific terms will be outlined in an updated version of this document at such time as a subscription offering is implemented.

4. Transaction Fees

A payment processing fee is applicable on all transactions, covering the costs incurred by third-party payment providers. This payment processing fee is charged separately to, and over and above, the commissions charged by the Marketplace.

The standard rates are:

  • Domestic Transactions: 2% + £0.25 per transaction

  • International Transactions: 3.1% + £0.25 per transaction

These fees apply to all sales, regardless of payment method.

Should the Marketplace add additional, non-standard, third-party payment providers in response to customer preferences, those providers may charge rates that differ from the standard rates. The Marketplace undertakes to communicate, in good faith, changes to transaction fees to all Vendors but will not be accountable for any loss incurred by a Vendor due to unexpected transaction fees charged by a payment processing provider.

Vendors are invited to escalate concerns about or objections to transaction fees at any time by email to sellersrule@vroomclassics.com.

5. Listing Fees

The Marketplace does not charge listing fees.

6. Payment Disbursement

6.1. Payment Disbursement Overview

The Marketplace aims to achieve the fastest-possible disbursement system to ensure vendors receive their earnings promptly while maintaining a secure marketplace for customers. We offer different disbursement schedules to vendors based on their perceived risk to the Marketplace, and reserve the right to withhold payments if the transaction(s) is (are) flagged as high-risk.

The Marketplace’s baseline fastest disbursement frequencies by vendor status are:

  • Established Sellers: Funds are disbursed within 1 business day of a confirmed sale.

  • New Sellers: Funds are disbursed 14 days after a confirmed sale for the first 60 days or until the seller meets performance and risk eligibility criteria for faster disbursements.

All payouts are subject to payment processing, fraud prevention, chargeback protection, and compliance checks.

The Marketplace may withhold future disbursements to cover chargeback costs incurred

7. Refunds and Chargebacks

7.1. Refunds

You are responsible for setting your own policies regarding returns and cancellations and how they affect the issuance of refunds. These policies must be clearly stated in their product listings and communicated to customers.

Your policies must comply with the Consumer Regulations described in clauses 1, 2, 3 and 4 of the Returns & Cancellations Policy.

You may offer more generous return, cancellation and refund policies at your discretion, provided they do not restrict consumers’ statutory rights under the Consumer Regulations as described in clauses 1, 2, 3 and 4 of the Returns & Cancellations Policy.

If your policies conflict with UK consumer law, the Marketplace reserves the right to enforce compliance or take appropriate action.

By purchasing the vendor’s product, customers accept your stated policies at the time of purchase. Customers can request the Marketplace to intervene where the vendor does not honour their policies.

If a customer returns an order and/or is otherwise entitled to a refund it will be your responsibility to refund the customer according to your policies.

The Marketplace will refund, within 2 business days, the Marketplace commissions and fees charged to the vendor in the original customer transaction upon confirmation that the customer is refunded. Where the vendor issues a partial refund to the customer, the Marketplace will refund the same proportion of the commissions and fees.

7.2. Chargebacks

A chargeback handling fee of £20 applies if a customer disputes a transaction. This fee is waived if the dispute is settled in the Vendor’s favour.

If a chargeback or dispute arises after funds have been disbursed, the Marketplace may withhold future disbursements to cover the claim.

8. Taxes and VAT

All fees are subject to VAT where applicable. Vendors are responsible for ensuring compliance with HMRC regulations and reporting their tax obligations.

9. Amendments to Fees

Vroom Classics Marketplace reserves the right to revise commission rates and fees with a minimum 7 days' notice to vendors.
